MEDIA TEAMNON-DISCLOSURE, INTELLECTUAL PROPERTY & CONTRIBUTION AGREEMENT

This Non-Disclosure, Intellectual Property & Contribution Agreement (“Agreement”) is made effective as of the date of signing below, by and between:

Aviary Club of Nigeria (“the Club”)and (“Media Team Member”).

The purpose of this Agreement is to protect the confidential information, intellectual property, financial contributions, strategic insight, and all proprietary materials of the Aviary Club of Nigeria Media Team.

The Media Team Member acknowledges that during participation in the Media Team, they may have access to confidential information including but not limited to:

• Media strategies and internal communications

• Event plans and unpublished materials

• Financial information and sponsorship details

• Membership data and internal records

• Passwords, login credentials, and digital access information

• Designs, publications, recordings, archives, and drafts

The Media Team Member agrees:

• Not to disclose, share, copy, distribute, or reproduce any confidential information without written authorization from the Club.

• To use confidential information solely for official Aviary Club purposes.

• To maintain confidentiality during and after membership in the Media Team.

The Media Team Member agrees that:

All works, materials, intellectual contributions, ideas, designs, recordings, writings, branding concepts, media productions, lectures, strategic input, and creative contributions developed, submitted, or produced for the Aviary Club of Nigeria, whether individually or collaboratively shall become the exclusive property of the Aviary Club of Nigeria.

This includes but is not limited to:

• Articles and publications

• Media content and digital productions

• Logos, graphics, and branding materials

• Strategic insights and conceptual ideas

• Training materials and lectures

• Event documentation and archives

  
  

Upon signing this Agreement, the Media Team Member irrevocably assigns all rights, title, and interest in such materials to the Aviary Club of Nigeria. Any financial contribution, donation, sponsorship input, or monetary support voluntarily provided to the Media Team or the Aviary Club of Nigeria shall be considered:

• A voluntary contribution

• Non-refundable

• Non-reclaimable

The Media Team Member agrees that such contributions cannot be demanded back now or in the future. All passwords, login credentials, digital platforms, social media accounts, media storage systems, and related access tools belong solely to the Aviary Club of Nigeria.

Members shall not:

• Change passwords without authorization

• Retain access after leaving the Media Team

• Claim ownership of digital assets

Upon exit from the Media Team, all access must be surrendered immediately.

By signing this Agreement, the Media Team Member:

• Waives any future claims to ownership of materials produced for the Club

• Agrees not to reclaim, withdraw, or request removal of materials

• Approves the Club’s perpetual right to use, modify, publish, distribute, archive, and reproduce all contributions without restriction

This Agreement shall remain binding during membership and indefinitely after termination of involvement with the Aviary Club of Nigeria Media Team.

This Agreement shall be governed by the constitution, policies, and leadership authority of the Aviary Club of Nigeria.

I hereby confirm that I have read, understood, and voluntarily agree to the terms of this Non-Disclosure, Intellectual Property & Contribution Agreement. I sign this document freely and without coercion.
